Adani Energy Solutions Ltd Acquires Rajasthan Part I Power Transmission Limited for Strategic Expansion
Adani Energy Solutions Ltd (AESL) has acquired 100% equity shares of Rajasthan Part I Power Transmission Limited (RPIPTL) as of January 20, 2025. The acquisition, carried out through a Share Purchase Agreement (SPA) with REC Power Development and Consultancy Limited, involved equity shares at a face value of Rs. 10 each. This move aligns with AESL’s strategic focus on enhancing shareholder value through a mix of organic and inorganic growth initiatives.
RPIPTL, incorporated on April 30, 2023, and registered with the Registrar of Companies in New Delhi, plays a pivotal role in the Bhadla-Fatehpur HVDC Project. This project, secured by AESL under the Tariff Based Competitive Bidding (TBCB) mechanism, is valued at approximately Rs. 25,000 crore, marking it as AESL’s largest order to date. The project is designed to evacuate 6 GW of renewable energy from various Renewable Energy Zones (REZs) in Rajasthan to demand centers in North India and the national grid.
Upon completion, the project will expand AESL’s transmission network to 25,778 ckm and increase its transformation capacity to 84,186 MVA. Set to be commissioned within 4.5 years, the project will operate on a BOOT (Build, Own, Operate, and Transfer) model. This is AESL’s third HVDC project, following the Mundra–Mahendragarh Project and another currently under construction.
