Bikaji Foods International Limited (“Bikaji Foods”) has announced its amalgamation with Vindhyawasini Sales Private Limited (“Vindhyawasini Sales”). The merger is being executed under Sections 230 to 232 of the Companies Act, 2013, and its related rules.
Key Details of the Amalgamation:
- Court Approval:
The National Company Law Tribunal (NCLT), Jaipur Bench, approved the scheme of amalgamation on December 11, 2024, following a hearing on Bikaji Foods’ first motion petition. The approval order was published on the NCLT website on December 12, 2024. - Waiver of Meetings:
The NCLT waived the requirement for Bikaji Foods and Vindhyawasini Sales to conduct shareholder and creditor meetings as part of the amalgamation process. - Public Disclosure:
Bikaji Foods has complied with regulatory requirements by publishing a notice of the NCLT order on its website, in line with Regulation 46 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
