Brainbees Solutions Limited, the company behind the popular brand FirstCry (trading symbol: FIRSTCRY), has announced a key corporate restructuring involving its subsidiary Swara Baby Products Private Limited.
The update was officially disclosed to the BSE and NSE in compliance with regulatory requirements.
Acquisition of KA Hygiene
As part of this restructuring, Swara Baby Products Private Limited has acquired a 100% equity stake in K.A. Enterprises (Hygiene) Private Limited, commonly referred to as KA Hygiene.
The acquisition was completed on December 25, 2025, following the execution of share subscription and share purchase agreements on December 22, 2025.
How the Transaction Was Structured
Instead of a cash payment, the acquisition was settled through the allotment of 38,49,572 equity shares of Swara Baby to the existing shareholders of KA Hygiene. This share-based transaction resulted in the issuance of new shares by Swara Baby.
Impact on Shareholding
Due to the allotment of additional shares, Brainbees Solutions Limited’s stake in Swara Baby was diluted.
Earlier holding: 87.29%
Post-transaction holding: 75.92%
Despite the dilution, Brainbees continues to maintain effective control over Swara Baby.
Change in Corporate Structure

KA Hygiene has become a wholly-owned subsidiary of Swara Baby Products Private Limited
From Brainbees’ perspective, KA Hygiene is now classified as a step-down subsidiary
Brainbees holds 75.92% indirect ownership in KA Hygiene through Swara Baby
