Crisil Limited Streamlines Global Operations with Strategic INR 315 Crore Subsidiary Amalgamation

CRISIL Limited, a leading global analytics and ratings company, has approved the amalgamation of its two wholly owned Canadian step-down subsidiaries as part of its ongoing efforts to simplify its global corporate structure and improve operational efficiency.

The Board of Directors, at its meeting held on July 21, 2026, approved the merger of CRISIL Canada Inc. with CRISIL PriceMetrix Inc. Following the amalgamation, the combined entity will continue to operate under the name CRISIL PriceMetrix Inc.

The proposed restructuring is an internal corporate reorganisation and will not impact CRISIL Limited’s shareholding pattern or its shareholders.

Key Highlights of the Amalgamation

  • Transferor Company: CRISIL Canada Inc.
  • Transferee Company: CRISIL PriceMetrix Inc.
  • Post-Merger Entity: CRISIL PriceMetrix Inc.
  • Purpose: Rationalisation of the global entity structure and improvement in operational and administrative efficiencies.
  • Regulatory Status: Subject to statutory and regulatory approvals under the Ontario Business Corporations Act (OBCA).

Strategic Rationale Behind the Merger

The amalgamation is aimed at simplifying CRISIL’s international corporate structure while creating operational synergies across its Canadian businesses.

By combining the two subsidiaries into a single legal entity, the company expects to:

  • Streamline business operations.
  • Reduce administrative and compliance costs.
  • Improve organisational efficiency.
  • Enhance coordination across analytics and benchmarking services.
  • Strengthen its global operating platform.

The move forms part of CRISIL’s broader strategy to optimise its global operations while maintaining a focused and efficient organisational structure.

Financial Impact

As part of the amalgamation:

  • The share capital of CRISIL Canada Inc., amounting to approximately CAD 38 million (around ₹315.4 crore), will be retained as the capital of the amalgamated entity.
  • The transaction does not involve any cash consideration.
  • There will be no change in CRISIL Limited’s ownership structure since both companies are wholly owned step-down subsidiaries.

The company has also clarified that the transaction will have no adverse impact on shareholders and is purely an internal restructuring exercise.

About the Canadian Businesses

CRISIL PriceMetrix Inc., headquartered in Toronto, provides Software-as-a-Service (SaaS) and advanced analytics solutions for the wealth management industry, including benchmarking, pricing intelligence, and performance analytics.

CRISIL Canada Inc. has been engaged in research and benchmarking services, complementing the broader analytics capabilities of the CRISIL Group.

The integration of these businesses is expected to create a more unified platform for delivering analytics-driven solutions to global clients.

Looking Ahead

The amalgamation remains subject to the necessary regulatory approvals under Canadian corporate laws. Once completed, the restructuring is expected to strengthen CRISIL’s operational efficiency while supporting its long-term growth strategy in analytics, research, and data intelligence.

The consolidation reflects CRISIL’s continued focus on building a leaner and more agile global organisation capable of delivering enhanced value to clients and stakeholders.
