Samvardhana Motherson Completes Acquisition of Yutaka Giken, Strengthening Global Automotive Presence

Samvardhana Motherson International Limited (SAMIL) has completed one of its significant international acquisitions, strengthening its position in the global automotive components industry. The company announced that, through its indirect wholly owned subsidiary Motherson Global Investments B.V. (MGI BV), it has finalized the acquisition of a controlling stake in Yutaka Giken Co., Ltd. (YGCL), a renowned Japanese automotive component manufacturer.

The transaction officially closed on July 21, 2026, marking the successful completion of a deal that was first announced in August 2025. The acquisition represents another important milestone in Samvardhana Motherson’s long-term strategy of expanding its global manufacturing footprint and deepening relationships with leading automotive original equipment manufacturers (OEMs).

Samvardhana Motherson Acquires 81% Stake in Yutaka Giken

As part of the transaction, MGI BV has acquired:

  • 81% voting rights in Yutaka Giken Co., Ltd. (YGCL)
  • 11% stake in Shinnichi Kogyo Co., Ltd., a subsidiary of Yutaka Giken

Yutaka Giken is a well-established Japanese automotive component manufacturer that was previously listed on the Tokyo Stock Exchange. The company is known for manufacturing a range of automotive systems and components for leading global automobile manufacturers.

Following the completion of the acquisition, MGI BV now holds an 81% ownership stake in YGCL, while Honda Motor Co., Ltd. continues to hold the remaining 19% stake.

Meanwhile, Shinnichi Kogyo remains a subsidiary of Yutaka Giken, with YGCL retaining a 62% ownership interest.

Share Buyback Facilitated the Transaction

A key step in completing the acquisition involved Yutaka Giken buying back shares previously held by Honda Motor Co., Ltd.

This corporate restructuring enabled the agreed ownership structure, paving the way for the successful completion of the transaction and allowing MGI BV to acquire its controlling interest in the company.
