Timken India Receives NCLT First Motion Approval for Subsidiary Amalgamation

Timken India Limited has achieved an important milestone in its corporate restructuring process after receiving approval from the National Company Law Tribunal (NCLT) on the first motion application for its proposed Scheme of Amalgamation with its wholly owned subsidiary, Timken GGB Technology Private Limited.

The development marks progress in the merger process that was initially announced by the company on May 18, 2026.

NCLT Approves First Motion Application

In a regulatory filing dated July 24, 2026, Timken India informed the stock exchanges that the NCLT has approved the first motion application relating to the proposed amalgamation.

Following the first motion approval, the company will proceed with the second motion application, which is the next step in obtaining the tribunal’s final sanction for the merger.

Purpose of the Amalgamation

The proposed merger aims to simplify the group’s corporate structure by integrating Timken GGB Technology Private Limited into Timken India Limited.

According to the company, the amalgamation is expected to:

With the first motion now approved, Timken India will seek the NCLT’s final approval through the second motion application. The amalgamation will become effective upon receipt of all necessary regulatory approvals and fulfillment of applicable statutory requirements.
