Nimbus Projects to Hold 95% Stake in New Entity via Partnership Conversion

Nimbus Projects Limited has approved a corporate restructuring initiative by converting its partnership firm, IIT-Nimbus The Palm Village, into a private limited company. The company’s Board of Directors approved the proposal during its meeting held on July 27, 2026, paving the way for the incorporation of IIT Nimbus The Palm Village Private Limited.

The restructuring is aimed at strengthening corporate governance, improving operational efficiency, and providing a more robust framework for executing and managing real estate projects.

Restructuring Details

Prior to the conversion, Nimbus Projects Limited held a 95% capital contribution in the partnership firm. Following the incorporation of the private limited company, the company will retain the same 95% ownership, while the remaining 5% will continue to be held by Bipin Agarwal.

The equity shares of the new company will be allotted in exchange for the partners’ existing capital contributions in the partnership firm, and no additional cash investment will be made by Nimbus Projects as part of the restructuring.

Strategic Rationale

The conversion from a partnership firm to a private limited company is expected to provide a stronger corporate structure, enhance governance standards, and facilitate efficient project execution. The move is also expected to simplify compliance and improve the company’s ability to undertake future business expansion.

Upon receiving the Certificate of Incorporation from the Registrar of Companies (RoC), the new entity will continue to undertake a wide range of real estate activities, including:

  • Residential and commercial real estate development.
  • Construction and project execution.
  • Acquisition and leasing of properties.
  • Property management services.
  • Real estate consultancy and allied services.

The restructuring aligns with Nimbus Projects’ long-term strategy of strengthening its organizational structure while maintaining continuity in its real estate development operations.
