Somany Ceramics’ Amalgamation Petition to be Heard by NCLT Kolkata on August 28

Somany Ceramics Limited has informed the stock exchanges that the National Company Law Tribunal (NCLT), Kolkata Bench, has scheduled the final hearing for its proposed Scheme of Amalgamation on August 28, 2026. The update follows an order issued by the NCLT on July 21, 2026 and was disclosed under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

As part of the statutory process, the company has also published public notices regarding the proposed amalgamation in the Kolkata editions of Business Standard (English) and Aajkaal (Bengali) on July 31, 2026, ensuring compliance with regulatory requirements.

Details of the Proposed Amalgamation

The proposed restructuring involves the merger of three group companies into Somany Ceramics Limited, the transferee company. The scheme is being implemented under Sections 230 to 232 of the Companies Act, 2013, along with the applicable rules governing corporate mergers and amalgamations.

The transferor companies are:

  • Somany Bathware Limited (SBL) – Transferor Company 1
  • Somany Excel Vitrified Private Limited (SEVPL) – Transferor Company 2
  • SR Continental Limited (SRCL) – Transferor Company 3

The proposed amalgamation is aimed at simplifying the group’s corporate structure by consolidating these entities into a single listed company.

The merger is expected to improve operational efficiency by integrating the businesses of the transferor companies under one corporate entity.
