HMA Agro Industries Announces Promoter Share Transfer Through Gift Deed

HMA Agro Industries Limited has informed the stock exchanges about an inter-se transfer of shares within its promoter group. The proposed transaction will be carried out through a gift deed and is an off-market transfer between promoter family members.

The company disclosed the development under SEBI’s Listing Obligations and Disclosure Requirements (LODR) Regulations and the SEBI (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.

No Change in Overall Promoter Holding

The company clarified that the transaction is an inter-se transfer among promoter group members who are immediate relatives. As a result, the total shareholding of the promoter and promoter group will remain unchanged before and after the transfer.

Since the transaction is taking place within the promoter group, it qualifies for an exemption under Regulation 10(1)(a)(i) of the SEBI (SAST) Regulations, 2011.

What Does This Mean for Investors?

This announcement does not involve the sale of shares in the open market and does not change the overall promoter ownership in HMA Agro Industries. Instead, it is a restructuring of shareholding within the promoter family through a gift deed.
