Thermax Limited to Consolidate Bio-CNG EPC Business Through Strategic Demerger

Thermax Limited has announced a strategic corporate restructuring through a Scheme of Arrangement, aimed at strengthening its renewable energy business and improving operational efficiency. The proposed scheme involves the demerger of the Engineering, Procurement and Construction (EPC) business of its wholly owned subsidiary, Thermax Bioenergy Solutions Private Limited, and its transfer to Thermax Limited.

The move is designed to streamline operations by bringing engineering and project execution capabilities under one entity, while enabling the subsidiary to focus exclusively on Operations & Maintenance (O&M) services for Bio-CNG plants.

Bio-CNG EPC Business to be Transferred to Thermax Limited

Under the proposed Scheme of Arrangement, the Bio-CNG EPC undertaking of Thermax Bioenergy Solutions Private Limited will be demerged and vested in Thermax Limited.

Once the scheme becomes effective:

  • Thermax Limited will undertake the Technology, Engineering, Procurement, and Construction (EPC) business for Bio-CNG projects.
  • Thermax Bioenergy Solutions Private Limited will continue as a specialized Operations & Maintenance (O&M) company.
  • The restructuring is an internal reorganization within the Thermax Group.
  • No fresh equity shares will be issued as part of the transaction, and the shareholding pattern of Thermax Limited will remain unchanged.

Strategic Objectives Behind the Demerger

The restructuring is intended to create a more focused organizational structure by aligning similar business activities under the parent company.

By consolidating the EPC business within Thermax Limited, the company expects to:

  • The company’s shareholding pattern will remain unchanged.
