ITC Infotech Completes Merger of Blazeclan Technologies and Cloudlytics Technologies
ITC Limited has announced that the merger of Blazeclan Technologies Private Limited (BTPL) and Cloudlytics Technologies Private Limited (CTPL) with its wholly owned subsidiary ITC Infotech India Limited has become effective from September 1, 2026.
The development follows approval of the Scheme of Amalgamation by the National Company Law Tribunal (NCLT) benches in Kolkata and Mumbai and the fulfilment of all conditions required for the scheme to take effect.
Merger Becomes Effective
According to ITC’s regulatory filing, the Scheme of Amalgamation involving BTPL and CTPL was sanctioned by the NCLT, and all conditions precedent have now been fulfilled.
As a result, the scheme became effective on September 1, 2026.
The Appointed Date for the merger was October 1, 2024.
Following the effectiveness of the scheme, Blazeclan Technologies and Cloudlytics Technologies have been dissolved without winding up.
They have also ceased to be subsidiaries of ITC Limited.
What Are Blazeclan Technologies and Cloudlytics Technologies?
Both companies were step-down wholly owned subsidiaries within the ITC group and were being consolidated under ITC Infotech India Limited, ITC’s wholly owned technology subsidiary.
The merger brings their operations under the ITC Infotech structure, simplifying the group’s technology-business structure.
Why the Merger Matters
The amalgamation is primarily a corporate restructuring within ITC’s technology business rather than a change in ITC’s core FMCG or other operating businesses.
By consolidating the two step-down subsidiaries with ITC Infotech, the group can potentially simplify its corporate structure and streamline administration and operations.
For investors, the key takeaway is that the merger has now moved beyond the approval stage and has become legally effective.
ITC’s Technology Business
ITC Infotech is part of ITC’s broader portfolio, which includes businesses across FMCG, Paperboards & Packaging, Agri-Business and Information Technology.
The consolidation of BTPL and CTPL into ITC Infotech reflects ITC’s continued effort to align its technology-related entities under a more streamlined organisational structure.
