Bharat Forge Simplifies German Subsidiary Structure Through Internal Merger

Bharat Forge Limited has completed an internal corporate restructuring involving two of its wholly owned German subsidiaries, aimed at simplifying the group’s legal structure in Germany.

Under the restructuring, Bharat Forge Holding GmbH (BFH) has merged with Bharat Forge Global Holding GmbH (BFGH), its immediate holding company. The merger was completed under German law and was entered into the commercial registry on August 25, 2026.

Bharat Forge German Subsidiary Merger

Bharat Forge said BFH was a wholly owned step-down subsidiary, while BFGH held 100% of BFH’s paid-up share capital.

Following the merger, BFH has ceased to exist as a separate legal entity.

An important structural change is that Bharat Forge Aluminiumtechnik GmbH, which was earlier a subsidiary of BFH, has now become a direct subsidiary of Bharat Forge Global Holding GmbH.

BFGH reported revenue from operations of approximately €6.09 million for the year ended December 31, 2025, while BFH reported nil revenue during the period.
