Sahana System Allots Bonus Shares, Shifts Registered Office, and Plans Semiconductor Subsidiary
Sahana System Limited has announced several key corporate decisions following its Board of Directors meeting held on August 3, 2026. The board approved the allotment of bonus shares, the relocation of the company’s registered office within Ahmedabad, and the incorporation of a new semiconductor subsidiary. These developments were disclosed to the National Stock Exchange (NSE) under SEBI’s Listing Obligations and Disclosure Requirements (LODR) Regulations.
Sahana System Allots Bonus Shares in 1:5 Ratio
The board approved the allotment of 17,67,421 bonus equity shares with a face value of ₹10 each. Shareholders will receive one bonus share for every five existing equity shares held as of the record date, July 31, 2026. The bonus shares will rank pari-passu with the existing equity shares and will be credited to eligible shareholders within the prescribed statutory timeline.

The change will become effective from August 4, 2026. The relocation is within the local limits of Ahmedabad city.
Sahana System to Enter the Semiconductor Business
In a major strategic move, the board approved the proposal to incorporate a new subsidiary named Sahana Semi-Conductors Limited (or another name as approved by the authorities). The proposed company will operate in India’s Electronics and Information Technology sector, focusing on the design and fabrication of semiconductors and semiconductor devices.
Initial Investment Structure
Sahana System plans to subscribe to 6,000 equity shares of ₹10 each, representing a 60% stake in the new subsidiary through a cash investment of ₹60,000.
The remaining 40% stake will be subscribed by Mr. Pratik Kakadia, the company’s promoter, through a cash investment. Once incorporated, the new entity will become a subsidiary of Sahana System Limited.
