Gabriel India Acquires Suspension Assets from Marelli Motherson for ₹600 Million

Gabriel India Limited (GIL) to Acquire Assets from Marelli Motherson Auto Suspension Parts Pvt. Ltd. (MMAS)

Gabriel India Limited (GIL) has signed an Asset Purchase Agreement (APA) with Marelli Motherson Auto Suspension Parts Pvt. Ltd. (MMAS), Marelli Europe S.p.A., and Samvardhana Motherson International Limited. Under this agreement, GIL will acquire specific fixed assets and inventory from MMAS. The transaction is contingent on meeting standard conditions precedent, including executing a license agreement with Marelli Suspension Systems Italy S.p.A. This agreement will enable GIL to manufacture, assemble, sell, distribute, and market specific products in India using Marelli Italy’s technical expertise. Additionally, GIL will enter into a technical assistance and support agreement with Marelli Italy.

This asset acquisition by GIL represents a strategic move to strengthen its presence in the suspension components industry. With a total transaction value of INR 600 million (subject to adjustments), the deal is poised to enhance GIL’s capabilities through the integration of advanced technology and assets from MMAS. The completion of this transaction, anticipated in Q1 FY2025-26, is contingent on fulfilling the agreed-upon conditions.
