Gujarat Themis Biosyn Completes Acquisition of Japan-Based MicroBiopharm Japan
Gujarat Themis Biosyn Limited (NSE: GUJTHEM | BSE: 506879) has completed the acquisition of 100% equity shareholding in MicroBiopharm Japan Co., Ltd. (MBJ) through its wholly owned Japanese subsidiary, Themis Biosyn Japan Limited.
The company announced the completion of the transaction on September 18, 2026, stating that all customary closing conditions and required regulatory formalities have been fulfilled.
The acquisition was initially announced by Gujarat Themis Biosyn in May 2026.
₹1,000+ Crore Strategic Acquisition
The acquisition was completed for a total consideration of JPY 21.5 billion, funded through a combination of debt and equity.
Gujarat Themis Biosyn has made a capital contribution of ₹475 crore and provided ₹745 crore by way of a loan to its wholly owned subsidiary, Themis Biosyn Japan Limited, for the transaction.
The company has also entered into a loan agreement with the subsidiary for a facility of up to ₹800 crore, subject to the terms and conditions of the agreement.
GTBL said the transaction is expected to be EPS accretive.
MicroBiopharm Japan’s Business
MicroBiopharm Japan has more than 60 years of operating experience and runs three GMP-compliant manufacturing facilities.
The company has a track record of inspections by the US FDA and Japan’s PMDA and operates across several pharmaceutical and biotechnology segments.

Acquisition to Expand Fermentation and CDMO Capabilities
Gujarat Themis Biosyn said the acquisition will accelerate its strategy of building a fermentation-based, globally integrated CDMO platform.
One of the key additions is MBJ’s proprietary P450 enzyme library, which provides capabilities in precision fermentation and enzyme-based bioconversion.
The technology could allow the combined business to expand beyond conventional chemical manufacturing routes in selected applications.
Entry into Advanced Pharmaceutical Technologies
Through MBJ, Gujarat Themis Biosyn will gain access to several technology platforms and product areas.

MBJ operates three GMP-compliant manufacturing sites in Japan.
Gujarat Themis Biosyn said the facilities, together with MBJ’s regulatory track record, will help strengthen the combined group’s ability to serve regulated international markets.
The acquisition also provides GTBL with an established presence in Japan and relationships with pharmaceutical customers across Asia, Europe and North America.

The existing management team of MicroBiopharm Japan will continue to lead the operations following completion of the acquisition.

Transaction Financing
The acquisition has been funded through a combination of equity and debt.
As part of the transaction structure, Gujarat Themis Biosyn has contributed ₹475 crore to Themis Biosyn Japan Limited and provided ₹745 crore as a loan to the subsidiary.
The company has also entered into a separate loan agreement with its Japanese subsidiary for a facility of up to ₹800 crore, with the proceeds intended to support the acquisition, subject to applicable conditions and approvals.
The company stated that the loan arrangement is between GTBL and its wholly owned subsidiary and does not constitute a related-party transaction involving the promoter or promoter group.
