SML Mahindra to Acquire Mahindra’s Truck & Bus Business for ₹525 Crore

SML Mahindra Limited (formerly SML Isuzu Limited) has announced a transformational strategic acquisition after its Board of Directors approved the purchase of the Truck and Bus Division (MTBD) from its holding company, Mahindra & Mahindra Limited (M&M).

The acquisition will be carried out as a going concern on a slump sale basis through a Business Transfer Agreement (BTA). The transaction is expected to significantly strengthen SML Mahindra’s position in India’s commercial vehicle market by expanding its product portfolio and manufacturing capabilities.

Acquisition Valued at ₹525 Crore

Under the approved transaction structure, SML Mahindra will acquire the entire Truck and Bus Division of Mahindra & Mahindra for a consideration of ₹525 crore, subject to customary working capital adjustments.

The company stated that the Business Transfer Agreement is expected to be executed on or before August 7, 2026.

The acquisition includes the transfer of the complete business undertaking, including:

  • Employees
  • Manufacturing and operational assets
  • Intellectual property
  • Customer and supplier contracts
  • Licenses and permits
  • Business liabilities

The transfer will enable seamless continuity of operations while integrating the commercial vehicle business into SML Mahindra.

Mahindra Truck & Bus Division Performance

For the financial year 2025–26, Mahindra’s Truck and Bus Division reported:

  • Revenue: ₹2,989 crore
  • Commercial Vehicle Sales: 14,832 units

The division has an established presence across multiple commercial vehicle segments, offering a diversified portfolio that includes:

  • Light commercial trucks
  • Intermediate commercial trucks
  • Heavy commercial trucks
  • Passenger buses

The acquisition is expected to broaden SML Mahindra’s product offerings and enhance its ability to serve customers across a wider range of commercial transportation requirements.

Strategic Significance

The acquisition represents an important milestone in SML Mahindra’s long-term growth strategy.

By integrating Mahindra’s Truck and Bus Division, the company is expected to:

  • Expand its presence in the commercial vehicle market.
  • Strengthen its product portfolio across truck and bus segments.
  • Leverage operational synergies and manufacturing capabilities.
  • Enhance economies of scale and improve market competitiveness.

Related Party Transaction

Since Mahindra & Mahindra Limited is the promoter and holding company of SML Mahindra, holding a 58.97% equity stake, the acquisition qualifies as a related party transaction under applicable regulatory provisions, including the SEBI (Listing Obligations and Disclosure Requirements) Regulations and the Companies Act, 2013.

To ensure regulatory compliance and transparency:

  • The transaction has been reviewed and recommended by the Audit Committee.
  • It has received approval from the Board of Directors of SML Mahindra.
  • The acquisition remains subject to approval from the company’s shareholders and other applicable statutory and regulatory authorities.
