Whirlpool of India Clarifies Promoter Stake Sale Reports After 20% Surge; Stock Falls 4.44% Today

Whirlpool of India Limited has clarified reports regarding a potential promoter stake sale after its shares jumped 20% on September 23, 2026. The stock was trading 4.44% lower at around 12:40 PM on September 24, according to the latest market update.

The company said the reported stake-sale discussions concern its promoter group and not Whirlpool of India itself.

Whirlpool Promoter Structure Explained

Whirlpool Corporation is the ultimate parent company, while Whirlpool Mauritius Limited is the direct promoter entity holding shares in Whirlpool of India.

As of June 30, 2026, Whirlpool Mauritius held 39.76% of Whirlpool of India, according to the company’s shareholding disclosure.

The promoter’s holding was reduced from 51% to 39.76% following a stake sale in November 2025. Whirlpool of India subsequently ceased to be a subsidiary of Whirlpool Mauritius.

Therefore, the potential transaction being discussed is essentially a possible sale of Whirlpool Mauritius’ remaining holding in Whirlpool of India, rather than a sale by Whirlpool of India itself.

Promoter Exploring Potential Control Transaction

Whirlpool of India said it is not a party to the discussions or negotiations that Whirlpool Corporation may be having with potential buyers.

However, the company disclosed that on September 22, Whirlpool Corporation, on behalf of Whirlpool Mauritius, informed the Board that it continues to intend to sell its shares in Whirlpool of India to a third party as part of a control transaction.

The proposed transaction is currently being explored with more than one potential counterparty.

Whirlpool of India said it does not know whether the eventual transaction would involve the promoter’s entire 39.76% holding or only a portion of it. The company also said it is not aware of the potential transaction’s price, terms or current stage of negotiations.

Whirlpool Shares Jumped 20% on September 23

The clarification follows a sharp move in Whirlpool of India’s shares on September 23.

According to the company’s filing, the stock rose from ₹721.15 to ₹865.35, representing a 20% increase during the session. Market reports had attributed the surge to speculation about a potential promoter stake sale.

On September 24, the stock has moved lower after the previous day’s sharp rally. At around 12:40 PM, Whirlpool of India shares were down 4.44%.

The company itself has said it cannot comment on what specifically is driving the share-price movement beyond the information disclosed in its clarification.

Promoter Had Already Sold Around 11% Stake

Whirlpool Corporation had previously reduced its holding in Whirlpool of India through a sale of approximately 11% of the company’s share capital in 2025.

Following that transaction, Whirlpool Mauritius’ direct holding stood at around 39.76%, which remains the promoter’s disclosed stake as of June 30, 2026.

The latest communication therefore represents a further potential change in the promoter’s ownership, although no definitive transaction has been announced yet.

What Investors Should Track

The key development to watch is whether Whirlpool Mauritius reaches an agreement with a potential buyer and, if so, the stake size, transaction price, buyer identity and other terms.

Until a definitive transaction is announced, the discussions remain under exploration. Whirlpool of India has also made it clear that it is not involved in the negotiations.

The company’s clarification should therefore be read separately from the market speculation that triggered the sharp move in the stock.
