About Sentini Ceramica Limited

Established on January 11, 2002, Sentini Ceramica Limited is engaged in the manufacturing of ceramic tiles. The company operates its primary manufacturing facility in Vijayawada, Andhra Pradesh, catering to the domestic building materials market.

Financial Performance

The subsidiary has reported the following turnover over the past three financial years:

Financial Year Turnover
FY2025-26 ₹61.18 crore
FY2024-25 ₹71.13 crore
FY2023-24 ₹78.40 crore

While revenue has moderated over the last three years, Prism Johnson’s increased ownership reflects its long-term confidence in the ceramics business and its potential for future growth.

Strategic Significance

By raising its stake to 98.5%, Prism Johnson gains greater operational and financial control over Sentini Ceramica. The higher ownership is expected to improve decision-making, streamline business integration, and enhance synergies across the company’s building materials portfolio, which includes cement, ready-mixed concrete, and tiles.

The acquisition also demonstrates Prism Johnson’s commitment to strengthening its presence in the ceramic tiles segment while simplifying its subsidiary ownership structure.

Regulatory Disclosure

Prism Johnson clarified that the acquisition does not qualify as a Related Party Transaction (RPT) under the SEBI (Listing Obligations and Disclosure Requirements) Regulations. The transaction was executed on an arm’s length basis, with the consideration paid entirely in cash through normal banking channels.
