BASF India Strengthens Renewable Energy Commitment with Solar Power Investment for Navi Mumbai Plant
BASF India Limited has taken another significant step toward sustainable manufacturing by approving an investment in a renewable energy project that will supply green electricity to its Navi Mumbai manufacturing facility.
The company’s Board of Directors, at its meeting held on August 4, 2026, approved the acquisition of a 14.18% equity stake in Clean Max Galapagos Private Limited, a special purpose vehicle (SPV) established by Clean Max Enviro Energy Solutions Limited.
Investment to Secure Long-Term Renewable Power
BASF India will invest up to ₹9.45 million in the SPV under the Group Captive Power Generation Mechanism. Through this investment, the company aims to procure approximately 4,240 MWh of renewable solar power annually, including associated green energy attributes, for its Navi Mumbai manufacturing site.
The initiative aligns with the renewable energy policies of the Government of Maharashtra, as well as the provisions of the Electricity Act, 2003, supporting industrial consumers in transitioning toward cleaner sources of energy.
Supporting BASF India’s Sustainability Goals
The move reflects BASF India’s continued focus on reducing its environmental footprint by increasing the use of renewable energy in its manufacturing operations. By sourcing clean solar power through the captive model, the company is expected to lower carbon emissions while ensuring a reliable and cost-effective supply of electricity over the long term.

Transaction Subject to Final Agreements
The acquisition will be completed after several conditions are fulfilled, including:
- Execution of the Shareholders’ Agreement
- Signing of a 25-year long-term Power Purchase Agreement (PPA)
- Receipt of all necessary regulatory and statutory approvals
- Satisfaction of other customary closing conditions
Not a Related Party Transaction
BASF India clarified that the proposed acquisition does not qualify as a related party transaction. The company also confirmed that none of its promoters or promoter group entities hold any stake or interest in Clean Max Galapagos Private Limited, ensuring the transaction is conducted on an arm’s-length basis.
