Mahindra Finance Approves Merger with Mahindra Rural Housing Finance to Create a Unified Lending Platform
Mahindra & Mahindra Financial Services Limited (Mahindra Finance) has approved the merger of its subsidiary Mahindra Rural Housing Finance Limited (MRHFL) into the listed entity, marking a major strategic step towards building a stronger and more diversified financial services platform.
The merger, approved by the company’s Board of Directors on August 5, 2026, aims to simplify the group’s lending structure, improve operational efficiency, and strengthen its retail lending franchise across India. The proposal is subject to regulatory, shareholder, creditor, and National Company Law Tribunal (NCLT) approvals.

Merger Structure
Under the approved Scheme of Merger:

All assets and liabilities of MRHFL will be transferred to Mahindra Finance at their carrying values.
Outstanding Non-Convertible Debentures (NCDs) of MRHFL will continue under the same terms after becoming liabilities of Mahindra Finance.
The appointed date for the merger has been proposed as April 1, 2027, subject to approval by the National Company Law Tribunal (NCLT) and other regulatory authorities.
Share Exchange Ratio
As part of the merger, shareholders of Mahindra Rural Housing Finance (other than Mahindra Finance itself) will receive:
1.8 equity shares of Mahindra Finance (face value ₹2 each) for every 10 equity shares of MRHFL (face value ₹10 each).
Any fractional entitlement will be rounded up to the nearest whole share.
The exchange ratio has been determined based on an independent valuation by Bansi S. Mehta Valuers LLP and supported by a fairness opinion from Ernst & Young Merchant Banking Services LLP.
Minimal Impact on Shareholding
Following the merger, Mahindra Finance expects to issue approximately 3.48 lakh new equity shares to eligible minority shareholders of MRHFL.
The overall promoter holding is expected to remain broadly unchanged at around 52.5%, indicating minimal dilution for existing shareholders.
