Avantel Approves Merger of Imeds Global; Expands Business Objects Across Healthcare, Space, Energy and AI
Avantel Limited has approved the proposed merger of its wholly owned subsidiary Imeds Global Private Limited with the company, while also proposing a significant expansion of its Memorandum of Association to cover businesses including medical devices, space technology, energy systems, electronics manufacturing, microelectronics and artificial intelligence.

Avantel Approves Merger of Imeds Global
The Board has considered the proposal to merge Imeds Global Private Limited, a wholly owned subsidiary of Avantel, into Avantel Limited under Sections 230 to 232 of the Companies Act, 2013.
Since Imeds Global is wholly owned by Avantel, the proposed scheme does not involve any share exchange ratio. No shares of Avantel are proposed to be issued as consideration.

Avantel Proposes Major Expansion of Business Objects

Avantel is also proposing objects covering the development, manufacturing, integration and operation of satellites, spacecraft, payloads, subsystems and ground-segment infrastructure.
The proposed activities include ground stations, satellite operations, telemetry, tracking and command, data downlink, earth observation, remote sensing, navigation and satellite-based communication services.
3. Energy and Storage
Another proposed business area is energy systems and technologies.
The proposed objects cover generation, conversion, storage, transmission, distribution and management of energy from conventional and emerging sources, including solar, wind, hydrogen, fuel cells, bio-energy and other technologies.
The scope also includes battery energy storage systems, power electronics, chargers, microgrids and hybrid and off-grid power systems.
4. Electronics Manufacturing and Engineering
Avantel also plans to add objects covering the design, development and manufacturing of mechanical, electrical, electronic, electromechanical and composite components.
The proposed activities include electronics manufacturing services, PCB assembly, box-build, system integration, precision engineering, fabrication, testing and calibration services for government, defence, public-sector and private customers.
5. Microelectronics and Semiconductor-Related Activities
The proposed objects further cover microelectronic and radio-frequency modules and assemblies, including transmit-receive modules, microwave and millimetre-wave components, sensors and optoelectronic assemblies.
Avantel also proposes to participate in the semiconductor and microelectronics supply chain as a supplier, assembler, integrator or partner.
6. Artificial Intelligence and Digital Technologies
Another major addition is artificial intelligence and digital technology.
The proposed objects include AI, machine learning, generative AI, agentic AI, data analytics, IoT, edge computing, cybersecurity, blockchain and quantum computing.
The company also proposes activities involving AI-enabled analytics, automation, decision-support systems, software-as-a-service and digital infrastructure, including data centres and AI compute infrastructure.
Rationale Behind the Merger
According to Avantel, the proposed merger of Imeds Global is intended to rationalise the group structure, simplify governance and reporting, consolidate operations and resources, eliminate duplication in administrative and compliance functions, and improve operational efficiency and oversight.
No Cash Consideration or New Shares
The proposed merger does not involve cash consideration.
Since Imeds Global is a wholly owned subsidiary, Avantel said no shares of the company will be allotted pursuant to the scheme. The shares held by Avantel in Imeds Global will be cancelled or extinguished once the scheme becomes effective.
There will also be no change in Avantel’s shareholding pattern as a result of the proposed merger.
