Adani Enterprises Acquires 100% Stake in Path Highway LLP for ₹91.34 Crore

Adani Enterprises Limited (AEL) has announced that its road infrastructure subsidiaries have completed the acquisition of 100% of Path Highway LLP (PATH) for a consideration of ₹91.34 crore, subject to closing adjustments.

The acquisition was disclosed by the company on August 13, 2026, through a regulatory filing with the stock exchanges.

Adani Enterprises Expands Road Infrastructure Footprint

Under the transaction, Adani Road Transport Limited (ARTL), a wholly owned subsidiary of Adani Enterprises, has acquired 99.99% of Path Highway LLP.

The remaining 0.01% stake has been acquired by Adani Road GRICL Limited (GRICL), a wholly owned subsidiary of ARTL and a step-down subsidiary of Adani Enterprises.

As a result, the Adani group has acquired 100% of the capital contribution and profit-sharing ratio of PATH.

The transaction is aligned with Adani Enterprises’ strategy of expanding its presence in the road infrastructure development sector.

Impact on Three Road Projects

Before the acquisition, ARTL and PATH collectively held stakes in three road infrastructure companies:

  • Mancherial Repallewada Road Limited (MRRL)
  • Suryapet Khammam Road Limited (SKRL)
  • Bilaspur Pathrapali Road Limited (BPRL)

Prior to the transaction, ARTL held 74%, while PATH held 25.99% in these entities.

Following the acquisition of PATH, ARTL will effectively hold 99.99% shareholding in MRRL, SKRL and BPRL.

This consolidation gives Adani Road Transport greater ownership and control over these road infrastructure assets.

What Is Path Highway LLP?

Path Highway LLP was incorporated on December 13, 2018, under the Limited Liability Partnership Act, 2008.

The entity was registered with the Registrar of Companies, Gwalior, and operates primarily as an investment holding vehicle for road infrastructure assets.

Its significance for Adani Enterprises comes from its existing investments in MRRL, SKRL and BPRL.

No Promoter Interest in the Transaction

Adani Enterprises stated that the promoter and promoter group do not have any interest in the transaction.

Before the acquisition, PATH held a 25.99% stake in MRRL, SKRL and BPRL and was therefore a related party to these entities.

The company has stated that the transaction has been undertaken on an arm’s-length basis.

The acquisition is strategically important for Adani Enterprises because it further consolidates its position in India’s road infrastructure sector.

By acquiring PATH completely, ARTL gains greater ownership of the road infrastructure assets in which PATH previously held minority stakes.
