PI Industries to Establish PI Foundation as Wholly Owned CSR Subsidiary

PI Industries Limited has announced plans to establish a new wholly owned subsidiary, PI Foundation, as a not-for-profit organisation under Section 8 of the Companies Act, 2013. The move was approved by the company’s Board of Directors at its meeting held on August 11, 2026.

The proposed foundation will focus on undertaking the company’s Corporate Social Responsibility (CSR) initiatives in accordance with Section 135 and Schedule VII of the Companies Act, 2013.

PI Industries to Incorporate PI Foundation

According to the company’s regulatory filing, PI Industries Limited and/or its subsidiaries will hold 100% of the share capital of the proposed PI Foundation. The entity will be incorporated in India, subject to approval of the proposed name by the Registrar of Companies.

The foundation is proposed to be registered with the Registrar of Companies, Jaipur, Ministry of Corporate Affairs, under Section 8 of the Companies Act.

The initial subscription to the share capital will be made in cash.

What Will PI Foundation Do?

PI Foundation is being established specifically to undertake CSR activities of PI Industries in line with the applicable provisions of the Companies Act.

The Section 8 structure is generally used for organisations formed for not-for-profit objectives. In PI Industries’ case, the proposed foundation is intended to provide a dedicated structure for implementing and managing the company’s CSR initiatives.

The company has not disclosed specific CSR projects or areas of expenditure in the announcement.

PI Industries Q1 FY27 Financial Performance

The announcement came along with PI Industries’ unaudited financial results for the quarter ended June 30, 2026.

On a consolidated basis, the company reported revenue from operations of ₹1,702.3 crore in Q1 FY27, compared with ₹1,900.5 crore in Q1 FY26.

Consolidated profit after tax stood at ₹244.2 crore, compared with ₹400 crore in the corresponding quarter of the previous year.

The company’s consolidated results include its agrochemicals and pharma businesses along with its subsidiaries, joint venture and associate.

Agrochemicals Remains the Core Business

PI Industries reported consolidated segment revenue of ₹1,648.8 crore from its Agro Chemicals business during Q1 FY27, compared with ₹1,828.7 crore in Q1 FY26.

The agrochemicals segment reported profit before tax of ₹383.5 crore, against ₹565.6 crore in the year-ago quarter.

The segment includes Agchem exports through the company’s CSM business, domestic agricultural brands and biologicals.

Pharma Business Continues to Face Pressure

The company’s Pharma segment reported revenue of ₹54.2 crore during Q1 FY27, compared with ₹72.3 crore in Q1 FY26.

The segment reported a loss before tax of ₹81.6 crore, compared with a loss of ₹76 crore in the corresponding quarter last year.

PI Industries’ pharma business includes contract research and development as well as contract development and manufacturing of active pharmaceutical ingredients, key starting materials and intermediates.

Previous Acquisitions and Pharma Strategy

PI Industries’ consolidated financial statements also provide details about its earlier acquisitions in the pharma and life sciences business.

In April 2023, PI Health Sciences Limited, a wholly owned subsidiary of PI Industries, acquired 100% equity in Solis Pharmachem Private Limited and Therachem Research Medilab (India) Private Limited, along with specified assets of Therachem Research Medilab LLC, USA.

The acquisition consideration included contingent payments linked to specified business performance and business development activities.

During FY26, the company renegotiated the contingent consideration arrangement with the erstwhile owners. This resulted in a ₹126 crore write-back of contingent consideration, which was recognised under exceptional items during FY26.
