Amber Enterprises Advances Merger of Wholly-Owned Subsidiary After NCLT Admits Petition

Amber Enterprises India Limited has taken another step in its corporate restructuring process after the National Company Law Tribunal (NCLT), Chandigarh Bench, admitted the Second Motion Petition relating to the proposed amalgamation of its wholly-owned subsidiary, AmberPR Technoplast India Private Limited, with the company.

The NCLT order was passed on July 3, 2026, and received by the company on July 15, 2026.

Merger Process Moves Forward

The proposed scheme involves the merger of AmberPR Technoplast India Private Limited into Amber Enterprises India Limited.

Admission of the Second Motion Petition marks an important procedural milestone in the merger process. While it does not constitute final approval, it enables the company to proceed with the statutory steps required before the scheme can receive final sanction.

The amalgamation is expected to simplify the group’s corporate structure and improve operational efficiency.

NCLT Issues Directions

As part of its order, the NCLT has directed the company to issue notices to various statutory and regulatory authorities seeking their observations on the proposed scheme.

The authorities include:

  • Central Government
  • Income Tax Department
  • Securities and Exchange Board of India (SEBI)
  • Registrar of Companies
  • Other relevant regulatory authorities

These authorities have been given 30 days to submit any representations or objections regarding the proposed amalgamation.

Public Notice to Stakeholders

The Tribunal has also instructed the company to publish public notices regarding the proposed merger in:

  • Business Standard (English)
  • Jansatta (Hindi)

The publication will ensure that shareholders, creditors, and other stakeholders are informed about the ongoing merger proceedings.

Next Hearing Scheduled

The matter has been listed before the NCLT for further consideration on September 2, 2026.

Following the completion of the regulatory process and receipt of necessary approvals, the Tribunal will consider granting final approval to the merger scheme.
