Aster DM Quality Care Acquires 14.21% Stake in Bangladesh-Based STS Holdings for $44.1 Million
Aster DM Quality Care Limited, formerly known as Aster DM Healthcare Limited, has announced that its Mauritius-based subsidiary Chemistry Intermediate Holdings Limited has acquired a 14.21% stake in STS Holdings Limited, a healthcare company based in Bangladesh. The acquisition was disclosed to the stock exchanges on 28 August 2026 under Regulation 30 of the SEBI Listing Regulations.
Aster DM Expands Healthcare Presence in Bangladesh
The acquisition gives Aster DM Quality Care an additional strategic investment in STS Holdings, which operates in the healthcare services and related training sector in Bangladesh. The transaction represents a further investment and is aligned with the broader restructuring and merger framework involving Aster DM Healthcare and Quality Care India.
$44.1 Million Investment
The transaction involves a cash consideration of USD 44.114 million. The shares were acquired at a price equivalent to BDT 273.45 per equity share, with each share having a face value of BDT 10. The company has not disclosed any requirement for additional regulatory approvals for completing the transaction.
14.21% Stake Acquired
Aster DM’s subsidiary acquired 22,727,584 equity shares, representing a 14.21% shareholding in STS Holdings Limited. The transaction therefore provides Aster DM with a significant minority interest in the Bangladesh-based healthcare company.
STS Holdings’ Business and Financial Growth
STS Holdings is a Bangladesh-based company focused on healthcare services and related training. The company was incorporated on 28 August 1997 and has recorded strong turnover growth over the past three years. Its turnover increased from BDT 7,777.02 million in FY2024 to BDT 8,902.8 million in FY2025 and BDT 10,534.24 million in FY2026, indicating continued growth in its business.
Acquisition Not a Related-Party Transaction
Aster DM stated that the investment does not fall under a related-party transaction and that the promoter, promoter group and group companies of the listed entity do not have any interest in STS Holdings. This provides clarity on the nature of the transaction for shareholders and investors.
Acquisition Linked to Merger Framework
The acquisition is part of the broader Merger Framework Agreement executed on 29 November 2024 involving Quality Care India, Aster DM Healthcare, Dr. Azad Moopen and other entities. The transaction was also disclosed in the Scheme of Amalgamation between Quality Care India Limited and Aster DM Healthcare Limited, which received approval from the National Company Law Tribunal (NCLT), Hyderabad Bench, on 19 June 2026.
