Adani Enterprises JV Acquires 100% Stake in Chandenvalle Infra Park for ₹535.69 Crore to Develop Data Center Infrastructure

Adani Enterprises Limited (AEL) has announced that AdaniConneX Private Limited (ACX), a joint venture of the company, has acquired a 100% equity stake in Chandenvalle Infra Park Limited (CIPL) from Adani Power Limited.

The acquisition was disclosed by Adani Enterprises on 27 August 2026 under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements (LODR) Regulations.

₹535.69 Crore Acquisition Completed

According to the company filing, ACX has acquired the entire equity share capital of CIPL for a cash consideration of ₹535.69 crore.

The transaction has already been completed, and ACX now holds 100% of CIPL.

CIPL has an authorised share capital of ₹1 lakh and a paid-up share capital of ₹1 lakh. The company has not yet commenced commercial operations and therefore reported nil turnover.

Acquisition to Support Data Center Infrastructure

The key objective of the acquisition is to enable AdaniConneX to establish data center infrastructure facilities.

CIPL operates in the infrastructure development space and, despite being yet to commence commercial activities, owns a sizeable land parcel and has secured key licences required to commence infrastructure-related activities.

This existing land and regulatory groundwork could provide ACX with a head start in developing the proposed infrastructure.

What Is AdaniConneX?

AdaniConneX is a joint venture of Adani Enterprises focused on developing and operating data center infrastructure.

The acquisition of CIPL is therefore strategically aligned with the group’s efforts to expand its presence in the rapidly growing digital infrastructure and data center segment.

With increasing demand for cloud computing, artificial intelligence, digital services and high-performance computing infrastructure, data centers are becoming an increasingly important part of India’s digital economy.

Acquisition Is Not a Related Party Transaction for AEL

Adani Enterprises stated that the acquisition of CIPL by ACX does not constitute a related party transaction for the company under SEBI LODR provisions.

However, CIPL is directly or indirectly controlled by the promoter/promoter group of Adani Enterprises.

The company said the transaction was conducted on an arm’s-length basis.

CIPL Background

Chandenvalle Infra Park Limited was incorporated in India on 24 February 2022 and is registered with the Registrar of Companies, Gujarat at Ahmedabad.

The company was established with the objective of undertaking infrastructure development activities.

Although CIPL has not started commercial operations, its sizeable land holding and secured key licences could provide strategic value for ACX’s planned infrastructure development.

Why the Acquisition Matters

The acquisition strengthens the infrastructure base available to AdaniConneX as it expands its data center ambitions.

Rather than starting a new infrastructure project from the ground up, the acquisition gives ACX access to an existing entity that already owns land and has obtained key licences. This could potentially accelerate the development process, subject to project execution and other applicable requirements.

For Adani Enterprises, the transaction also highlights the group’s continued focus on emerging infrastructure businesses, particularly areas linked to India’s expanding digital economy.

Investor Takeaway

The ₹535.69 crore acquisition of Chandenvalle Infra Park Limited is primarily a strategic infrastructure investment for AdaniConneX’s data center expansion.

The immediate financial contribution from CIPL is limited because the target has not yet commenced commercial activities and has reported nil turnover. However, the strategic value lies in its land parcel and existing licences, which could help ACX develop data center infrastructure more efficiently.

Investors should track subsequent project announcements, investment commitments, construction progress, capacity additions and commercialisation timelines to assess the longer-term financial impact of the acquisition on Adani Enterprises.
