IRB Infrastructure to Invest Up to ₹351 Crore in IRB InvIT Fund Through Preferential Issue

Mumbai, August 26, 2026: IRB Infrastructure Developers Limited has approved an investment of up to ₹351 crore in IRB InvIT Fund, a SEBI-registered Infrastructure Investment Trust sponsored by the company. The investment will be made through subscription to a proposed preferential issue of units by IRB InvIT Fund, subject to approval from the InvIT’s unitholders and other required regulatory approvals.

Under the proposed transaction, IRB Infrastructure Developers will subscribe to up to 5.40 crore additional units of IRB InvIT Fund at a price of ₹65 per unit, taking the maximum investment to ₹351 crore. The transaction will be made through cash consideration and is expected to be completed within the timeline prescribed for preferential allotment under applicable regulations.

Investment to Support Acquisition of Two Project SPVs

According to the company, the proposed investment will enable IRB InvIT Fund to raise funds for the acquisition of two project special purpose vehicles (SPVs) from IRB Infrastructure Trust, a privately placed listed infrastructure investment trust registered with SEBI.

The investment is part of the broader infrastructure and road asset ecosystem of the IRB group. IRB InvIT Fund focuses on owning, operating and maintaining revenue-generating highway assets across India.

IRB InvIT Fund Has ₹7,737 Crore Net Worth

IRB InvIT Fund reported consolidated turnover of ₹1,484.55 crore in FY2025-26, compared with ₹1,110.24 crore in FY2024-25 and ₹1,085.90 crore in FY2023-24. Its consolidated PAT stood at ₹338.61 crore in FY2025-26, while consolidated net worth was ₹7,737.30 crore.

The Trust’s portfolio comprises 10 revenue-generating highway assets, including eight Build-Operate-Transfer (BOT) assets and two Hybrid Annuity Model (HAM) assets. These assets are spread across Maharashtra, Gujarat, Rajasthan, Karnataka, Tamil Nadu, Punjab, Haryana and Uttar Pradesh.

No Related Party Transaction

IRB Infrastructure Developers stated that the proposed investment does not constitute a related party transaction under the applicable provisions of the Companies Act, 2013 and SEBI Listing Regulations.

The transaction is subject to approval from the unitholders of IRB InvIT Fund as well as any other necessary regulatory approvals.
