IRB Infrastructure Developers Approves Amalgamation of 9 Wholly Owned Subsidiaries

Mumbai, August 26, 2026: IRB Infrastructure Developers Limited has approved a Scheme of Amalgamation involving nine of its wholly owned subsidiaries with the company. The move is aimed at simplifying the group structure, improving operational efficiency, optimising resources and reducing administrative and compliance costs.

The subsidiaries proposed to be merged with IRB Infrastructure Developers include ATR Infrastructure Private Limited, Aryan Toll Road Private Limited, Aryan Hospitality Private Limited, IRB Goa Tollway Private Limited, IRB Infra Industries Private Limited, GE1 Expressway Private Limited, IRB PS Highway Private Limited, Mhaiskar Infrastructure Private Limited and Thane Ghodbunder Toll Road Private Limited.

No Cash Consideration or New Shares to Be Issued

Since all the transferor companies are wholly owned subsidiaries of IRB Infrastructure Developers, no consideration will be payable, and no new shares will be issued as part of the proposed amalgamation. As a result, the company’s shareholding pattern will remain unchanged after the scheme becomes effective.

The proposed transaction is intended to create a simpler corporate structure and enable better management oversight across the group’s infrastructure, road, tolling, hospitality and allied businesses. The company expects the consolidation to generate operational synergies while lowering administrative and compliance requirements.

IRB Infrastructure Developers Net Worth at ₹16,024 Crore

According to the disclosure, IRB Infrastructure Developers had a net worth of ₹16,024.40 crore as of June 30, 2026, while its turnover for the quarter ended June 30, 2026 stood at ₹1,230.26 crore.

Among the transferor companies, Mhaiskar Infrastructure Private Limited had the largest reported net worth at ₹2,253.90 crore, followed by ATR Infrastructure Private Limited at ₹225.14 crore, Aryan Toll Road Private Limited at ₹135.78 crore, IRB Goa Tollway Private Limited at ₹100.36 crore and Thane Ghodbunder Toll Road Private Limited at ₹86.47 crore.

The remaining entities include Aryan Hospitality Private Limited, IRB Infra Industries Private Limited, GE1 Expressway Private Limited and IRB PS Highway Private Limited.

Scheme Subject to Regulatory Approvals

The proposed amalgamation will be subject to the necessary statutory and regulatory approvals, including approval from the National Company Law Tribunal (NCLT), Mumbai Bench.

As the companies being merged are wholly owned subsidiaries, the scheme is exempt from the requirement of obtaining a No-Objection Letter or Observation Letter from the stock exchanges under the applicable SEBI regulations.

The transaction is also exempt from certain related-party transaction requirements applicable under the SEBI Listing Regulations, as specified in the company’s disclosure.
