Ashoka Buildcon Takes Full Ownership of Ashoka Concessions Limited

Ashoka Buildcon Limited (ABL) has completed a major strategic move by acquiring full ownership of its subsidiary, Ashoka Concessions Limited (ACL). With this deal, the company has bought out its former financial partners, giving ABL complete control over ACL’s operations.

Key Highlights of the Deal

  • Acquired Entity: Ashoka Concessions Limited

  • Buyers: Ashoka Buildcon Limited and its subsidiary, Viva Highways Limited

  • Exiting Investors: Macquarie SBI Infrastructure Investments Pte Ltd and SBI Macquarie Infrastructure Trust

  • Completion Date: November 27, 2025

Financial Details

  • Total Deal Value: ₹667.09 crore, paid entirely in cash

  • What Was Acquired:

    • 3,40,000 equity shares

    • 32,83,402 Class A CCDs

    • 84,82,891 Class B CCDs

  • Outcome: ACL is now a 100% wholly owned subsidiary of Ashoka Buildcon. Before this, ABL already held 66% equity.

Why This Deal Matters

  • ACL works in the road infrastructure sector, bidding for NHAI projects under BOT, TOT, and HAM models.

  • Full ownership will help ABL streamline operations, strengthen decision-making, and boost its ability to bid for new projects.

  • ACL reported a total income of ₹151.16 crore and a net worth of ₹990.70 crore in FY 2025.

  • The acquisition is a regular commercial transaction (not a related-party deal) and has been approved by NHAI.
