ITC Limited Completes Acquisition of Century Pulp and Paper Business

ITC Limited has completed the acquisition of the pulp and paper undertaking of Aditya Birla Real Estate Limited, marking a significant expansion of its Paperboards, Paper, and Packaging business. With effect from August 1, 2026, the business, popularly known as Century Pulp and Paper, has officially been transferred to ITC.

The completion follows the company’s earlier announcements made on March 31, 2025, and December 17, 2025, regarding the proposed transaction.

Key Highlights of the Acquisition

The acquisition has been completed under the terms of the previously executed Business Transfer Agreement.

Transaction details include:

  • Effective Date: August 1, 2026.
  • Acquisition Structure: Purchase of the business as a going concern on a slump sale basis.
  • Agreement: Executed under the Business Transfer Agreement dated March 31, 2025.
  • Business Transfer: Includes the transfer of the Century Pulp and Paper undertaking along with its manufacturing assets, liabilities, operational contracts, and employees.

Strengthening ITC’s Paperboards & Packaging Business

The acquisition significantly strengthens ITC’s presence in India’s paper and packaging industry by adding the well-established Century Pulp and Paper business to its portfolio.

The addition is expected to enhance ITC’s manufacturing capabilities, broaden its product portfolio, and strengthen its ability to cater to increasing demand across paper, paperboards, and sustainable packaging solutions in both domestic and international markets.
