UPL to Acquire Egyptian Seed Company Hytech Egypt for $110 Million

UPL Limited has announced a strategic acquisition in Egypt through its step-down subsidiary Advanta Holdings B.V., strengthening its presence in the seeds business and expanding its position in the Middle East and Africa.

The company disclosed the development to the stock exchanges on August 15, 2026, under Regulation 30 of the SEBI Listing Regulations.

UPL to Acquire Hytech Egypt

Advanta Holdings B.V. will acquire equity interest in Hytech Egypt USA LLC (Hytech USA), a holding company that controls Misr Hytech Seed International S.A.E. (Hytech Egypt).

Hytech Egypt is the operating company that will ultimately be acquired through the transaction.

Upon completion, Advanta Holdings B.V. will hold 99.98% of Hytech Egypt.

About Hytech Egypt

Misr Hytech Seed International is an Egyptian company operating in the agricultural and seeds industry.

The company was incorporated on September 25, 1993, and has a focus on the seeds business, particularly white and yellow corn.

Its reported turnover was:

  • FY2023: approximately $34.9 million
  • FY2024: approximately $37.6 million
  • FY2025: approximately $25.7 million

$110 Million Cash Acquisition

UPL said the transaction involves a cash consideration of approximately $110 million.

Advanta Holdings B.V. is a step-down subsidiary of Advanta Enterprises Limited, which forms part of UPL’s Seeds and Post Harvest segment under the Advanta platform.

UPL Limited effectively holds 78.21% in the Advanta platform.

The company has clarified that the acquisition is not a related-party transaction and that the promoter, promoter group and group companies do not have any direct or indirect interest in the target entity.

Regulatory Approvals Required

The acquisition is subject to regulatory approvals.

The company has identified the following anti-trust approvals:

  • COMESA Competition and Consumer Commission
  • Egyptian Competition Authority

The transaction will therefore be completed after obtaining the required regulatory clearances and satisfying other applicable conditions.

When Will the Acquisition Be Completed?

UPL expects the acquisition to be completed on or before January 31, 2027, subject to the required approvals and other closing conditions.

Following completion, Advanta Holdings B.V. is expected to own 99.98% of Hytech Egypt.
